Overview

Jason’s practice is focused on the representation of public and private companies, developers and lenders (and private equity sponsors) in finance, real estate and economic development matters, including infrastructure and utility-scale energy projects.  He frequently represents companies that are expanding or relocating to Tennessee and has extensive experience with complex finance and economic development transactions, including transactions involving federal and state tax credits, payment in lieu of tax arrangements (PILOTs), tax increment financing (TIFs), mezzanine loans and equity participations. 

Experience

  • Representation of national real estate developer in development and financing matters for more than $400 million of commercial, multi-family and mixed-use projects in Tennessee.

  • Representation of Fortune 50 company in the relocation and consolidation of its corporate headquarters, including a complex lease and financing structure and approximately $40 million in state, local and federal incentives.

  • Representation of lender in $85 million senior credit facility to agribusiness company.

  • Representation of company in $700 million senior credit facility secured by equity interests and intellectual property.

  • Representation of mortgage REIT in more than 25 lending transactions throughout the southeast United States.

  • Representation of healthcare company in $130 million senior credit facility.

  • Representation of foreign company in the location and development of its U.S. manufacturing operations in Tennessee, including real estate, financing and economic development incentives.

  • Representation of companies and developers in connection with the application for and negotiation of PILOT agreements with Industrial Development Boards throughout Tennessee, including more than 100 PILOT agreements.

  • Representation of solar developer in the development and financing of multiple utility-scale solar facilities in Tennessee, including state ad valorem and sales and use tax credits available to “certified green energy production facilities.”

  • Representation of U.S. division of European manufacturing and infrastructure company in the relocation, development and financing of its principal manufacturing facilities, including the negotiation of state and local incentives.

  • Representation of Fortune 500 company in the relocation and construction of its principal USDA approved manufacturing facilities, including the negotiation of PILOT agreements with multiple cities and counties.

  • Representation of forest products company in the acquisition of 13 lumber mills in seven states for consideration of approximately $325 million.
