Overview

As a member of the firm’s Public Finance, Tax Incentives & Credit Markets Group, Stan concentrates on public finance, banking law, business and commercial transactions, tax credits, energy law, and regulatory compliance counsel and advice.

About

Stan has focused his career on representing nearly all forms of political subdivisions in virtually every form of financing across a wide range of industries, from transportation (mass transit, air, rail, ports, highways), to utilities (electric, water, wastewater), to healthcare (general acute care hospitals and clinics), to general facilities (courthouses, housing, universities, stadiums). He has also represented private entities who contracted, or otherwise did or does business, with such political subdivisions, as well as representing private entities in major financings not involving political subdivisions (e.g. manufacturers in financing major automobile/truck assembly plants and lenders financing purchases of overseas power plants). Stan has been recognized by Best Lawyers in America® and Super Lawyers® for his work. He is also a Fellow of the American College of Bond Counsel.

Experience

  • Lead counsel to multi-billion dollar (U.S.) creditor in the on-going insolvency proceedings of the Commonwealth of Puerto Rico and certain of its political subdivisions.
  • Counsel to large, global insurance company in the creation, sale and purchase of highly structured financial products, including derivatives and special purpose vehicles.
  • With respect to International Swap Dealers Association (ISDA) – based transactions, counsel to swap trading desk of a major bank and of a global insurance company, plus assisted one of the largest state pension funds in establishing swap trading protocols and in the negotiation of related swaps.
  • Counsel to major investment banking firms and lenders in connection with mass transit agency projects (domestic and foreign), as well as large design-build-finance contracts between major construction companies and domestic mass transit agencies and state Departments of Transportation.
  • Counsel to major investment banking firms, lenders and state and local governmental bodies in connection with the creation of regional authorities and the financing of water supply, wastewater treatment, water reclamation and water distribution, including the long-term representation of major Western water districts in the development and financing of major water projects.
  • Counsel to investment banks, health care providers and state agencies in the financing of general acute-care hospitals, as well as the purchase and sale of hospitals and related facilities.
  • Counsel to major investment banking firms and lenders in connection with many military P3 housing project financings.
  • Counsel to major investment banking firm in structuring new tax credit programs.
  • Counsel to major domestic mass transit agency in connection with various major financings, including Transportation Infrastructure Finance and Innovation Act (TIFIA) transactions, as well as public-private ventures and a complete restructuring of its credit.
  • Counsel to major global automotive manufacturer in connection with the financing by a consortium of international lenders of a multi-billion dollar automobile/truck assembly plant in the U.S.
  • Counsel to a sovereign wealth fund in connection with bid on South American electric utilities.
