Overview

As a member of the Public Finance, Tax Incentives and Credit Markets Group, Michael counsels a wide variety of participants in various public, private, and public-private finance transactions.

Experience

  • Bond counsel, special tax counsel and counsel to financial institutions (acting as underwriters, direct lenders, credit enhancers and liquidity providers) in various public finance transactions involving, among other things:  taxable and tax-exempt bonds and loans, general obligation bonds, revenue bonds, working capital financings (TANs), single-family bonds, the financing of residential rental housing (including multifamily housing bonds, low-income housing tax credits and various HUD-administered loan programs), 501(c)(3) financings, the financing of healthcare facilities, the financing of educational facilities, industrial development bonds financing, commercial, manufacturing, retail, mixed-use and other facilities, the financing of various transportation projects (including highways, airports and mass commuting facilities), the financing of water and sewer/wastewater systems, the financing of natural gas, electricity and other energy projects (including renewable energy projects and natural-gas prepay bonds), the financing of solid waste disposal facilities, and municipal lease/purchase transactions involving the purchase of equipment and the purchase and installation of energy conservation systems.
  • Counsel to participants in public-private partnerships to develop, finance, and operate projects which provide essential services to communities such as transportation projects, healthcare facilities, retail shopping centers, sports facilities, hotels, conference and convention centers, office buildings and not-for-profit projects; served as bond counsel and counsel to public entities and private for-profit and non-profit developers on a number of urban renewal bond issues assisting municipalities in rehabilitating and revitalizing urban renewal areas within their communities. 
  • Bond counsel, special tax counsel and counsel to financial institutions (acting as underwriters, direct lenders, credit enhancers and liquidity providers) in connection with various types of tax-exempt and taxable financings that have involved: fixed rate obligations, variable rate demand obligations, competitive and negotiated sales, current and advanced refundings, direct purchases, insured obligations, credit-enhanced and/or liquidity supported obligations, and derivatives transactions, both integrated and non-integrated, including swaps, hedges, caps, floors and collars.
  • Counsel to municipal issuers, conduit borrowers, trustees and creditors in connection with post-issuance matters involving defaults and workouts of outstanding municipal bond issues, including restructurings utilizing Chapter 9 bankruptcy proceedings.
  • Counsel to developers, financial institutions and qualified community development entities (CDEs) in connection with the use of federal and state tax incentives, including new markets tax credits, renewable energy tax credits and other incentives related to the generation of electricity from renewable energy sources, low-income housing tax credits, historic rehabilitation tax credits, and tax increment financing.
  • Counsel to developers, financial institutions and governmental entities, including economic development authorities, in connection with transactions relating to the financing, development, sale, purchase and lease of real estate, including financings involving commercial real estate, residential rental property and condominiums.
  • Counsel to municipal issuers and finance professionals in connection with matters before the Internal Revenue Service, including IRS examinations and Voluntary Compliance Agreement Program (VCAP) requests.
