Legal Experience
  • Serves as general counsel to Cooperative Association of Tractor Dealers, Inc, a captive funding company owned by independent Caterpillar equipment dealers, which manages commercial paper/loan programs; represents the Cooperative in structured financing transactions with its members and all corporate and commercial matters.
  • Represents companies in a multitude of commercial transactions, including drafting and negotiating technology licensing, manufacture/supply and distribution/sales representative agreements.
  • Represents client in connection with investments in various start-up and early stage technology companies.
  • Represents numerous clients in intellectual property matters, focusing primarily on licensing, prosecution of federal and state trademark applications and copyright law.
  • Representation of Mississippi state agency in connection with implementation of state-wide emergency wireless network system, focusing primarily on related intellectual property issues;
  • Representation of buyers and sellers in business acquisitions in a multitude of industries including software/technology, medical device, building supply, retail, advertising and manufacturing concerns.
  • Representation of private businesses in formation, organization and business planning including shareholder or LLC buy-sell agreements.
  • Representation of an owner of power generator facilities in connection with acquisitions, sales and financing of facilities located in Mississippi.
  • Representation of several county governments in sale or long-term lease of community hospitals in Mississippi.
