- 20+ years’ experience representing public and private companies and businesses of various sizes and stages of development, from start-up to Fortune 500, and the legal and business issues confronting such companies and businesses.
- Managed and negotiated broad range of major transactions for clients, including mergers and acquisitions (asset and stock sales and purchases and public company mergers and acquisitions), joint ventures, private placements, financings, licensing, co-marketing, and co-promotion agreements, and strategic collaborations.
- Emphasis on pharmaceutical, life sciences, medical device, biotechnology, and healthcare clients.
- Significant experience representing clients in other industries including retail food and drug stores, cement, chemicals, food science, plastic and metal closures, packaging, financial services, and internet and technology.
- Represented leading industry clients in formation of numerous joint ventures, licensing and development agreements, and co-development agreements for branded and generic pharmaceutical products and health care services.
- Most recent transaction involved representing portfolio company of PAI Partners (French private equity firm) in the sale of a proprietary plastic beverages closure business to a New Zealand based private equity sponsor.
- Representative transactions include Pfizer Inc.’s divestiture of its Schneider Worldwide business to Boston Scientific Corporation ($2.1 billion) and its sale of its Food Science Group to Cultor Ltd., Baxter Healthcare Corporation’s acquisitions of the pharmaceutical solutions business of the Cook Group and the ESI Lederle business of Wyeth, and Baxter International, Inc.’s acquisition of Fusion Medical Technologies, Inc. (NASDAQ) (public company merger transaction).
